EULA - End User License Agreement

SINGLE USER LICENSE AGREEMENT
By installing or updating the Software, Licensee agrees to be bound by the license terms.

1- COPYRIGHT/OWNERSHIP RIGHTS.
The software, including, but not limited to, one or more of the following: object code, dynamic link libraries, help files together with the accompanying documentation (collectively known as the "Software") is owned by Jepib or its suppliers and is protected by copyright laws and international treaties. This Agreement does not grant the Licensee any intellectual property rights in the Software which is licensed, not sold.
Therefore, you must treat the Software like any copyrighted material except that you may make either:
(1) one backup copy of the Software solely for backup purposes, or
(2) transfer the Software to a hard disk and keep the original copy solely for backup purposes.

2- LICENSE
Licensee and each individual Employee who in any way utilizes (via electronic media or otherwise) the Software, must have his or her own license to use the Software and may only use the Software on a single computer (typically one personal computer) in accordance with the terms and conditions set forth herein.

Jepib grants Licensee a 30 days free trial license for testing purposes only. After the trial period Licensee must either purchase a non-free license of the Software or uninstall it.

By purchasing the Software Jepib grants the Licensee a non-exclusive, non-transferable, unlimited license to use the Software in the conditions of this Agreement.

The Software and all updates or additions are licensed as a single product and subject to the same agreement.

3- RESTRICTIONS
You (the Licensee) may not:
- Install and run the Software from a network server or any remote installation.
- Decompile, disassemble or reverse engineer any object code form of any portion of the Software.
- Rent, lease, or sub license the Software
- Create derivative works from the Software
- Transfer or assign the software or your rights under this agreement.
- Use content/knowledge which may be accessed through use of the Software. Such content is the property of the respective content owner and may be protected by copyright.

4- LIMITED WARRANTY
THE SOFTWARE AND ACCOMPANYING MATERIALS (INCLUDING INSTRUCTIONS FOR USE) ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. JEPIB DOES NOT GUARANTEE THE USE, OR THE RESULTS OF USE, OF THE SOFTWARE OR WRITTEN MATERIALS IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENT, OR OTHERWISE. YOU ASSUME THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE.

Jepib does not warrant that the Software will meet your requirements, that operation of the Software will be uninterrupted or error-free, or that all Software errors will be corrected. Jepib is not responsible for problems caused by changes in the operating characteristics of computer hardware or computer operating systems nor for problems in the interaction of the Software with other software. Jepib has no responsibility to replace or refund the license fee for equipment damaged by accident, abuse or misapplication.

5- LIMITED RESPONSIBILITY
THIS SOFTWARE IS INTENDED FOR COMMERCIAL, INSTITUTIONAL, AND INDUSTRIAL USERS. THE ABOVE WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESSED OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY JEPIB, ITS EMPLOYEES, DISTRIBUTORS, DEALERS OR AGENTS SHALL INCREASE THE SCOPE OF THE ABOVE WARRANTIES OR CREATE ANY NEW WARRANTIES.
NEITHER JEPIB NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION OR DELIVERY OF THE SOFTWARE SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS LOSSES, BUSINESS INTERRUPTION, LOSS OF DATA, AND THE LIKE) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, OR ANY OTHER CLAIM BY ANY PARTY EVEN IF JEPIB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT JEPIB IS LIABLE FOR ANY DAMAGES, JEPIB SOFTWARE'S LIABILITY FOR DAMAGES SHALL BE LIMITED TO THE AMOUNT PAID FOR THE SOFTWARE UNDER THE TERMS AND CONDITIONS OF THIS AGREEMENT.

6- TERMINATION
Jepib may terminate this agreement if the Licensee does not comply with this license agreement. In such case the Licensee must fully destroy all copies of the Software.

7- ARBITRATION
All disputes arising out of or in connection with the present agreement shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.
LICENSEE ACKNOWLEDGES THAT HE/SHE HAS READ THIS AGREEMENT, AND AGREES TO BE FULLY BOUND BY ITS TERMS AND CONDITIONS. THIS AGREEMENT MAY ONLY BE CHANGED BY MUTUAL WRITTEN CONSENT.
